Leading Masterline’s acquisition of NCRC.

I helped turn a 20-year relationship into a transaction that gives NCRC a long-term home and gives Masterline a nationwide facilities platform. Here is the history, the operating thesis, and the work behind the deal.

This deal started before I knew what a deal was

NCRC was Masterline’s first customer. Dave Marabella gave my dad, Mike Yslava, an opportunity when Masterline was just getting started. Some of my earliest memories are of going to Dave’s job sites with my dad. Long before there was an acquisition to discuss, there was work to complete and trust to earn.

Dave and my dad continued doing business together for more than 20 years. When Dave began thinking about retirement and the next home for NCRC, the relationship created a natural starting point. The transaction still had to make business sense for both sides. History opened the door; operating logic had to carry the deal.

My role in the transaction

I led the deal work for Masterline from the opportunity through financial analysis, structure, negotiation, diligence, contract coordination, and integration planning. Mike brought the decades of relationship and the owner’s judgment. Our legal, accounting, and operating partners helped test the details. My job was to keep the entire picture connected and push the transaction toward a structure the company could actually operate.

That distinction matters. Closing is not the finish line. A good acquisition must survive customer handoffs, vendor relationships, licensing, working-capital timing, employee questions, reporting, and thousands of ordinary service decisions after the documents are signed.

Why the operating thesis works

NCRC brings more than 40 years of customer knowledge and a nationwide facilities network. Masterline brings direct field execution in core Southwest markets, a major in-house plumbing division, and an operating team that already knows how to fulfill complex commercial work.

The combination does not require Masterline to rebuild every part of a second back office. We can preserve the NCRC entity, brand, customer channels, and service relationships while using the systems and people Masterline already has. That gives the business room to add meaningful volume without adding the same amount of administrative weight.

Technology is the integration advantage

I have spent years building systems inside Masterline because the facilities industry still carries too much work through separate inboxes, paper, spreadsheets, and disconnected software. MasterlineIQ is our answer: one governed layer for customers, communications, work orders, dispatch, field execution, financial context, and automation.

NCRC gives that system a larger, more demanding operating environment. The goal is not to force customers to change how they contact NCRC. It is to make every handoff behind the familiar channel faster, clearer, and easier to audit.

The obligation that comes with the opportunity

Acquiring a business is a promise to more people than the buyer and seller. Customers expect continuity. Employees need clarity. Vendors need responsible communication. A name that has existed for more than 40 years deserves to be handled with care.

NCRC remains the same legal company, and its existing customer agreements remain in place. Masterline’s responsibility is to protect what made NCRC valuable while giving it more field capacity, stronger systems, and a durable home for the next generation.
